SUBJECT: Review of Contract with Willdan Associates to provide
Temporary Planning Services
Recommended Motion: Approve the contract with Willdan Associates
to provide assistant planning services.
Report Summary:
Due to staff turnover, the Planning Department is minus one Asso-
ciate and one Assistant Planner. The Department requires tempo-
rary Planning Services to enable the City to continue reviewing
proposals for development at the same service level. Staff has re-
ceived a- proposal from Willdan Associates to provide two part time
Assistant Planners to fill the staff void while the City recruits
for the permanent positions.
Willdan has submitted a contract that, if approved, will provide
two part time Assistant Planners for two to three months. The firm
will provide one Assistant Planner who will be available four days
per week. In addition, Willdan's Planning Manager, Jerry Haag,
will be available approximately 20 hours per week.
The consultants will be responsible for the department's routine
tasks to free other permanent staff to concentrate on more complex
planning problems and applications. Typical duties to be handled
by the consultant will be answering the general public's questions,
drafting noncontroversial staff reports, and administrative support
such as reviewing applications for completeness.
Fiscal Impacts: The salary savings realized due to the vacancies
will help off -set the costs for consulting services. However, a
budget adjustment may be required depending on the length Willdan's
services may be required.

Dear Steve:
It was a pleasure to meet you and Tsvia this morning to discuss Saratoga's
planning needs.
Enclosed is a copy of Willdan's Standard Professional Services Agreement signed
by Mr. Dave Hedlund, the Regional Office Manager. The Agreement specifies that
Willdan Associates will provide Assistant Planner -level planning advisors to the
City of Saratoga for a period of approximately two to three months. Compensation
will be per Willdan's Schedule of Hourly Rates, which is attached to the contract.
As we also discussed, I am in the process of recruiting new Assistant Planners for
the Pleasanton office, which should take approximately two to three weeks. In the
interim, I propose to fill in as a temporary Assistant Planner until more permanent
individuals can be assigned. Given my other duties and responsibilities, I will be
able to spend between 20 and 24 hours per week with your city.
Should these arrangements and the draft contract prove satisfactory, please have
both copies of the contract executed and return one to Willdan.

AGREEMENT FOR PROFESSIONAL SERVICES
THIS AGREEMENT, made and entered into this day of
1990, by and between the City of
Saratoga located in the County of Santa Clara State of
California, hereinafter referred to as CITY, and Willdan Associates, a
California corporation, hereinafter referred to as WILLDAN, whose address
is 6140 Stoneridge Mall Road, Suite 340, Pleasanton, California, 94566.
WITNESSETH:
WHEREAS, CITY, desires to employ WILLDAN to furnish professional
services in connection with the project described as provision of
planning advisory services (Assistant Planners)
NOW, THEREFORE, in consideration of the mutual premises,
covenants, and conditions herein contained, the parties agree as follows:
SECTION 1 - BASIC SERVICES
WILLDAN shall provide the basic services described in detail in
Exhibit A, Scope of Services, attached hereto and made a part hereof.
SECTION 2 - ADDITIONAL SERVICES
If authorized, WILLDAN shall furnish additional services which are in
addition to the basic services. To the extent that the .additional services
have been identified at the time of executing this Agreement, they are
itemized in Exhibit A, Scope of Services, and will be paid for by CITY as
indicated in Section 3 hereof. If additional services are requested by
CITY, this Agreement may be modified and subject to mutual consent by
execution of an addendum by authorized representatives of both parties,
setting forth the additional scope of services to be performed, the
performance time schedule, and the compensation for such services.
SECTION 3 - COMPENSATION
WILLDAN shall be compensated on an hourly basis for each job
classification based upon Willdan's current Schedule of Hourly Rates for
basic services , as more particularly described in Exhibit A, and WILLDAN
shall be compensated for additional services rendered under Section 2 as
more particularly described in a fully approved and executed addendum to
this Agreement. Willdan shall also be compensated for directly related
travel and incidental costs, plus ten (10) percent.

Willdan may submit monthly statements for basic and additional
services rendered. It is intended that payments to WILLDAN will be made
by CITY within 30 days of receipt of invoice.
SECTION 4 - INDEMNIFICATION
WILLDAN agrees to save, keep, and hold harmless CITY from all
damages, costs, or expenses in law and equity including costs of suit and
expenses for legal services that may at any time arise or be set up
because of damage to property or injury to persons received or suffered
by reason of the operation of WILLDAN which may be occasioned by any
negligent act or omission to act which amounts to negligence on the part of
WILLDAN.
SECTION 5 - INSURANCE REQUIRED
WILLDAN shall maintain, during the term of this Agreement, the
following insurance:
A. Worker's Compensation and Employer's Liability Insurance as
prescribed by applicable law.
B. Comprehensive General Liability Insurance (bodily injury and
property damage) , in the amount of $1,000,000 per occurrence and annual
aggregate.
C. Automobile bodily injury and property damage liability insurance,
the limits of which shall not be less than $1,000,000 per occurrence.
D. City shall be named as an additional insured.
E. Design professional liability insurance covering negligent acts,
errors, or omissions of Willdan, the limits of which shall be $1,000,000 per
occurrence and $2,000,000 annual aggregate.
F. Before commencing work hereunder, Willdan shall provide City
with certificates or other documentary evidence of the above insurance.
SECTION 6 - INDEPENDENT CONTRACTOR STATUS
WILLDAN shall be an independent contractor and shall have
responsibility for and control over the details and means of providing the
services under this Agreement.
SECTION 7 OWNERSHIP AND MAINTENANCE OF DOCUMENTS
All documents furnished by WILLDAN pursuant to this Agreement are
instruments of WILLDAN's services in respect to this project. They are
not intended nor represented to be suitable for reuse by others on
extensions of this project or on any other project. Any reuse without
specific written verification and adoption by WILLDAN for the specific
purposes intended will be at user's sole risk and without liability or legal
exposure and expenses to WILLDAN including attorney's fees arising out of
such unauthorized reuse.
WI LLDAN's records, documents, calculations, test information, and all
other instruments of service shall be kept on file in legible form for a
period of not less than two years after completion of the services covered
in this agreement. The City shall own all completed Instruments of
Services, said Instruments of Service shall be delivered to City upon
request during the two year term.
SECTION 8 - SUSPENSION OF WORK
. CITY may, at any time, by ten -day (10) written notice suspend
further performance by WILLDAN. All suspensions shall extend the time
schedule for performance in a mutually satisfactory manner and WILLDAN
shall be paid for services performed and reimbursable expenses incurred
prior to the suspension date.
SECTION 9 - TERMINATION
CITY may terminate this Agreement at any time by giving written
ten -day (10) notice to WILLDAN of such termination and specifying the
effective date thereof at least fifteen (15) days before the effective date of
such termination. In that event, all finished documents and other final
materials shall, at the option of CITY, become the property of CITY. If
this Agreement is terminated by CITY as provided herein, WILLDAN will
be paid an amount which bears the same ratio to the total compensation as
the services actually performed bear to the total services of WILLDAN
covered by this Agreement, less payments of compensation previously
made.
SECTION 10 - COMPLIANCE WITH LAW
WILLDAN and CITY will use reasonable care to comply with applicable
laws in effect at the time the services are performed hereunder which to
the best of their knowledge, information, and belief apply to their
respective obligations under this Agreement.

SECTION 11 - SUCCESSORS AND ASSIGNS
This Agreement shall be binding on the successors and assigns of the
parties, but it shall not be assigned by WILLDAN without written consent
of CITY.
SECTION 12 - ATTORNEYS FEES
In the event that any judgment is entered in any action upon this
Agreement, the party hereto against whom such judgment is rendered
ti
agrees to pay the other party an amount equal to the reasonable value of
the legal services performed in his or its behalf in such action and that
such amount may be added to and made a part of such judgment.
In addition, any legal fees incurred to enforce the provisions of this
contract shall be reimbursed to the prevailing party.
SECTION 13 - COMPLIANCE WITH CIVIL RIGHTS
During the performance of this contract, WILLDAN agrees as follows:
A. Equal Employment Opportunity
In connection with the execution of this Agreement, WILLDAN
shall not discriminate against any employee or applicant for employment
because of race, religion, color, sex, or national origin. Such actions
shall include, but not be limited to, the following: employment, promotion,
upgrading, demotion, or transfer; recruitment or recruitment advertising;
layoff or termination; rate of pay or other forms of compensation; and
selection for training including apprenticeship.
B. Nondiscrimination Civil Rights Act of 1964
WILLDAN will comply with all federal regulations relative to
nondiscrimination to federally- assisted programs.
C. _Solicitations for Subcontractors including Procurements of
Materials and Equipment
In all solicitation, either by competitive bidding or negotiations,
made by WILLDAN for work to be performed under a subcontract including
procurement of materials or leases of equipment, each potential
subcontractor, supplier, or lessor shall be notified by WILLDAN of
WILLDAN's obligations under this Agreement and the regulations relative to
nondiscrimination on the ground of race, religion, color, sex, or national
origin.
SECTION 14 - RECORDS
Records of WILLDAN's direct labor costs, payroll costs, and
reimbursable expenses pertaining to this project covered by this Agreement
will be kept on a generally recognized accounting basis and made available
to CITY if and when required.
WILLDAN's records and design calculations will be available for
examination and audit if and as required.
SECTION 15 - SPECIAL PROVISIONS
This Agreement is subject to the following special provisions:

Additional billing classifications may be added to the above listing during
the year as new positions are created.
The above schedule is for straight time. Overtime will be charged at 1.25
times the standard hourly rates. Sundays and holidays will be charged at
1.70 times the standard hourly rates.
It should be noted that the foregoing wage rates are effective through June
30, 1990. The rates may be adjusted after that date to compensate for
labor adjustments and other increases in other costs.

The City Council of the City of Saratoga hereby resolves as
follows:
SECTION 1:
The 22,376.0 S. F. and 43,926.0 S. F. Parcels shown
as Parcel A and B on the Final Parcel Map prepared by
J. M. Heiss, Inc., and submitted to the City Engineer, City
of Saratoga, to be approved as two (2) individual building
sites.

RESOLUTION APPROVING TENTATIVE MAP FOR

WHEREAS, application has been made to the Advisory Agency under
the Subdivision Map Act of the State of California and under the
Subdivision Ordinance of the City of Saratoga, for tentative map
approval of 2 lots, all as more particularly set forth in File No.
SD -89 -014, and;
WHEREAS, this Advisory Agency hereby finds that the proposed
subdivision, together with the provisions for its design and
improvement, is consistent with the Saratoga General Plan and with
all specific plans relating thereto, and the proposed subdivision
and land use is compatible with the objectives, policies and general
land use and programs specified in such General Plan, reference to
the Staff Report dated 13 December 1989 being hereby made for
further particulars, and;
WHEREAS, this body has heretofor received and considered the
Categorical Exemption prepared for this project in accord with the
currently applicable provisions of CEQA, and;
WHEREAS, none of the conditions set forth in Subsections (a)
through (g) of Government Code Section 66474 exist with respect to
said subdivision, and tentative approval should be granted in accord
with conditions as hereinafter set forth, and;
WHEREAS, the Planning Commission has conducted a duly noticed
public hearing at which time all interested parties were given a
full opportunity to be heard and to present evidence;
NOW, THEREFORE, BE IT RESOLVED that the tentative map for the
hereinafter described subdivision, which map is dated the
5th day of October, 1989 and is marked Exhibit "A" in the
hereinabove referred file, be and the same is hereby conditionally

21. In accordance with District Ordinance 75 -6, the owner shall show any
existing well(s) on the plans. The well(s) shall be properly regis-
tered with the District and either maintained or abandoned in accord-
ance with District standards. Wells shall be sealed in accordance
with District standards unless they are to be used for the proposed
development. In this case, they should only be used after proper
testing and inspection. Written confirmation from the developer or
his engineer regarding the existence of any wells and their proposed
disposition shall be submitted to the District.

or welded wire mesh protective fencing shall be placed around the
trees as shown on Exhibit "B ".

With Building 24. Any future construction on either parcel, regardless of the
Permit. Section 15.45.060, shall require Design Review by the Planning
Commission.
Section 1. Applicant shall sign the agreement to these conditions
within 30 days of the passage of this resolution or said resolution shall
be void.
Section 2. Conditions must be completed within 24 months or approval
will expire.
Section 3. All applicable requirements of the State, County, City and
other Governmental entities must be met.
Section 4. Unless appealed pursuant to the requirements of Article
15 -90 of the Saratoga City Code, this Resolution shall become effective ten
(10) days from the date of adoption.

SUBJECT: Final Acceptance for City Street Overlay Project
Recommended Action:
Grant Final Acceptance and direct City Engineer to file Notice
of Completion for subject project.
Report Summary:
The City Council at their regular meeting on August 2, 1989,
awarded the contract for the above project to Gradeway Construction
for $434,402.95. The contractor has completed all work on the project.
Due to the addition of two streets (Pierce Road and Ten Oaks Way),
soft sub -grade along Sarahill Drive and Komina Avenue, and storm
drain improvements along Komina Avenue, the cost of the project in-
creased to $460,961.57.
Fiscal Impacts:
There are sufficient funds in the budget to cover the cost of
this project.
Total Cost: $460,961.57.
Retention Due: $46,096.16.

Recommended Motion:
Approve the Request for Proposal to notify interested Landscape
Architects and Park Planners of the need for updating the current
City of Saratoga Parks Master Plan and Trails Master Plan.
Report Summary:
At the joint Council /Park & Recreation Commission meeting in
November, it was decided to retain the professional services of a
Park Planner/ Landscape Architect to complete a City -wide Park
Master Plan and Trail Master Plan. The Park Master Plan will
emphasize updating the current plan for Kevin Moran Park and also
preparing new Master Plans for undeveloped Beauchamps and Azule
Parks.
The Parks & Recreation Commission reviewed and sanctioned this
proposal at their meeting on March 5th.
FISCAL IMPACTS:
The proposed cost for these Plans will be determined from the
proposals submitted. Staff will review the proposals with the
Parks & Recreation Commission and submit an appropriation
resolution for Council's consideration when the costs are known.

REQUEST FOR PROPOSAL
INTRODUCTION
The City of Saratoga is notifying interested Landscape Architects
and Park Planners of the need for a proposal to update the current
City of Saratoga Park Master Plan and Trails Master Plan.
PARK MASTER PLAN
The primary goal of the Park Master Plan must be to list and
evaluate each existing park site and two undeveloped sites. The
Park Master Plan must include the following elements:
1) The plan should detail the location, acquisition and
development, both completed and planned.
2) Consideration must be given to current park usage and how
future development and growth will affect both the developed and
undeveloped sites.
3) The plan must encompass all undeveloped areas of Kevin Moran
Park as well as the undeveloped Azule Park site and Beauchamps Park
site.
4) Any plan must include input
their potential usage, character
for their development.
TRAIL MASTER PLAN

The primary goal of the Trail Master Plan should be to list and
evaluate each trail location and improvements, both completed and
planned. The trail Master Plan must include the following
elements:
1) All planned facilities must be reasonable and feasible.
2) The plan must develop a recommended set of general criteria
and standards for improvement of all trails and pathways
including equestrian trails.
3) The plan must reflect a realistic, developable trail system.
4) Maintenance and the protection of the trails must be a major
consideration in the development of the program.
5) The annual cost for an ongoing maintenance program should be
a determining factor.
PURPOSE OF THE PROJECT
The purpose of the project is to update the current Park Master
Plan and Trail Master Plan. The updated Master Plans will be used
as references and guidelines for restoration of existing sites and
future construction of undeveloped sites.
SCOPE OF SERVICES TO BE PERFORMED
1) The architect shall review all existing plans and documents
to be furnished by the City staff. The plans and documents include
the following but are not limited to just these listed:
A) Park Master Plan
B) 1985 Update Park Master Plan
C) Trail and Pathway Master Plan
D) Park Usage Survey
E) Listing of all park sites and facilities
F) Open Space Study, now being developed
G) All Park Plans and Specifications
H) The 1986 State Bond Act funding used to complete E1 Quito
Park
I) The 1988 State Bond Act funding earmarked for Wildwood Park
$51,000 for 1) expansion of the existing picnic areas with
the addition of group picnic areas, 2) construction of a
sand volleyball court, 3) renovation of turf and irrigation
system, and 4) expansion and refurbishment of the
children's play equipment.
Play Equipment Replacement Program
State has granted $37,000 to replace old play equipment at
Congress Springs, Gardiner, Kevin Moran and E1 Quito Parks.
2) The firm must conduct a series of community meetings. These
meetings should gather input from the community addressing the
undeveloped areas of Kevin Moran Park and the undeveloped sites at
Azule and Beauchamps. The information gathered from these meetings
will be reviewed and incorporated into the final master plans.
3) After a complete review of all of the City's plans and
documents, compile all information gathered from the community and
consult with appropriate staff. The architect shall prepare draft
copies of both master plans to be reviewed by: 1) Parks and
Recreation Commissioners and 2) City Council for approval.
4) After receiving the approval of the draft master plans, the
architect shall prepare the final Park Master Plan and Trail Master
Plan for approval by City Council which must include all goals and
objects previously listed in this request.
5) The architect shall attend appropriate meetings with City staff
to make formal presentations to the Parks and Recreation Commission
and City Council as necessary to finalize this project.
SUBMITTAL REQUIREMENTS
The proposal must contain the following elements:
1) A brief description of the background and capabilities of the
firm.
2) A detailed statement of direct relevant experience in developing
Park Master Plans and Trail Plans.
3) Project leadership and staff assigned to this project, and their
qualifications.
4) Names and background qualifications of sub - consultants proposed
to be used. Work done by others must be listed and contain all
work not included in the proposal. Any work that is needed to
complete the project which is not contained in this list will be
considered part of the work provided by the architect and included
in the proposal.
5) Description of honors and awards received for work done by the
firm.
6) A schedule of fees or hourly rate charged by the firm.
7) An estimate of the total project cost required to provide the
scope of work outlined above for each master plan. A detailed cost
breakdown for both the Park Master Plan and the Trail Master Plan,
and a time schedule for completing the scope of work for each
project.
8) Provision of any other information that may assist the City in
ascertaining your or your firm's qualifications.
SELECTION PROCESS
Following an intitial screening of all completed proposals by City
staff, those firms with the appropriate qualifications will be
invited to participate in an oral presentation in mid -April before
the City of Saratoga Parks and Recreation Commission. The
Commission and staff's recommendation will be submitted to the City
Manager /Council for their approval.
PROPOSAL SUBMISSION DEADLINE
Proposals must be received by 5:OOpm on Friday, April 6, 1990.
