2. Shipment and Delivery. CTI will pay for the cost of standard delivery charges of the
Charging Stations to the locations designated by You in writing to CTI. CTI shall choose the
method by which Charging Stations are to be delivered. If You desire expedited delivery,
You will be responsible for the payment of all delivery charges.
3. Installation. (a) Installation of the Charging Stations shall be at your sole cost and expense.
Unless specifically agreed in writing, installation of the Charging Stations may only be
performed by a CTI Authorized Installer. Should You wish to use your own installer, you shall
request CTI's permission, in its reasonable discretion, to do so no more than fifteen (15) days
prior to the scheduled installation date. You should be aware, certain requirements must be
met by all contractors and subcontractors working to install electric vehicles station
equipment (EVSE) as part of the Grant. The Davis Bacon and Related Acts (DBRA) requires all
contractors and subcontractors performing work on federal construction contracts or
federally assisted contracts to pay their laborers and mechanics not less than the prevailing
wage rates and fringe benefits for corresponding classes of laborers and mechanics employed

on similar projects in the area. The prevailing wage rates and fringe benefits are determined
by the Secretary of Labor. For the ChargePoint America program, construction includes all
alterations, improvements and /or repair, including painting and decorating, performed on a
site in performance of the installation of EVSE. In addition, because the Charging Stations
are being awarded to You under a Federal program, in the event You use your own installer,
such installer shall become subject to certain audit and other rights granted to the United
States government and to CTI. Also, should you be authorized to use your own contractor to
install the charging stations, the contractor will be required to submit to CTI or the
applicable CTI Distributor within 5 days of the installation, the applicable DBRA related
paperwork including (i) a certified payroll or a properly filled out US government form wh-
347 and (ii) an invoice or receipt for the work done to install the charging station(s) including
costs for panel rework, trenching, concrete pad placement, fixing the station, and electrical
wiring. Furthermore, you shall indemnify and hold harmless CTI from all costs (including,
without limitation, reasonable attorneys' fees), losses, charges, fees, fines and other
expenses of any sort whatsoever, including, without limitation, the refusal of the DOE to
provide reimbursement to CTI in respect of the Charging Stations awarded to you, incurred
by CTI as a result of such installer's (i) failure to comply with any applicable law, including,
without limitation, the Davis -Bacon Act or (ii) failure to provide CTI such documentation as is
reasonably needed by it to comply with applicable DOE requirements.
(b) You agree to cause the installation of the Charging Stations, and the provision of such
Charging Stations on the ChargePoint Network, within forty five (45) days of their delivery
to You. In the event that the Charging Stations have not been installed by the expiration of
such forty five day period, CTI reserves the right to reclaim the Charging Stations. In the
event that You are having trouble arranging for the installation of the Charging Stations by
an Authorized Distributor or an installer chosen by such Authorized Distributor, please
contact CTI as soon as possible so that it can assist you in obtaining prompt installation of
the Charging Stations.
(c) The Charging Stations are not to be removed from their packaging by any person other
than the Installer.
4. Warranty /Limitation of Liability. (a) Warranty. The Charging Station is covered by the
terms of CTI's standard Warranty (the "Warranty ") for a period beginning on the date of
installation and running until December 31, 2013. A copy of the Warranty is included with
this agreement. All applicable warranties with respect to the Charging Station are set forth
in the Warranty, and are hereby incorporated by reference into this Agreement. (b)

EXPRESSLY DISCLAIMS ALL OTHER WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE
IMPLIED WARRANTIES OF NON- INFRINGEMENT OF THIRD PARTY RIGHTS BY THE CHARGING
STATION, MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. CTI DOES NOT
WARRANT UNINTERRUPTED OR ERROR FREE OPERATION OF THE CHARGING STATION. (c)
Limitation of Liability. (i) REGARDLESS OF WHETHER ANY REMEDY SET FORTH HEREIN FAILS
OF ITS ESSENTIAL PURPOSE OR OTHERWISE, IN NO EVENT WILL CTI BE LIABLE FOR ANY LOST
REVENUE OR PROFIT, LOST OR DAMAGED DATA, BUSINESS INTERRUPTION, LOSS OF CAPITAL,
OR FOR SPECIAL, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE DAMAGES, HOWEVER
CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY OR WHETHER ARISING OUT OF THE

SASCC REPORT TO CITY OF SARATOGA

PART ONE. INFORMATION
1. Membership Information

Peak 2011: 710
Peak 2012: 757 This represents a 6.7% increase over last year.
At this date, we are on track with last year in renewals. Our efforts are
ongoing in the development of new programs and recruitment plans in order
to grow our membership base. This year our members will have received 5
renewal reminders via the Outlook and mailers; emails, personal phone calls
iand reminders at every gathering possible. We continue to request email
addresses in order to communicate to our members, and have reached over
250 members via this anode of communication.
b. The ethnic distribution of current SASCC membership remains difficult to
determine due to lack of data volunteered from new and renewed members.
Caucasian: 307
Asian: 39
Hispanic and African American: 12
We continue to work with the Indian Community and key people within that
network to find ways to collaborate and share programs. We have a very
active Anandvan group, a discussion and social program which is available to
older parents and their families. This program meets the needs of those who
are either living or visiting with their families, or living very close by.
2. Reports
a. Q1 and Q2 2011 -12 reports for the Senior Center program offerings and
attendance are attached. Overall senior center attendance had a 5% increase
from 6493 in 10 -11 to 6823 in 11 -12.
b. State budget cuts and the elimination of funding for the Older Adult classes
continue to create a challenge with our programs. After so many years, a
great many of our seniors have become accustomed to the free classes that we
have offered through these programs. It is difficult to maintain our
attendance with resultant drops due to financial limitations. This is
particularly the case in the older participants. We offer member vs. non-
member fees to encourage seniors to join SASCC.
c. We have offered 17 new programs to date this year, each on a trial basis. As
always, some were very successful and some were cancelled due to lack of
interest. We will survey the membership in the Fall when our numbers have
peaked. We continue to compare offerings with other centers.
• Wednesday lunch, our primacy social program for the senior center
is on par with last year at this date. This program is vital to many of
our local seniors who might otherwise be at risk for isolation.
• All of our fees are structured as a percentage split with instructors.
We are also strongly urging SASCC membership commitments, and
charging more per class if they truly will not join. During renewal
periods, we check for membership against rosters. We continue to
offer services for free as well.
• We are not currently utilizing outside facilities for our programs,
but frequently work with the Recreation department when we
require more space or require a room allowing for higher capacity
for a specific event.
d. Outreach:
• We offer monthly hearing and blood pressure checks. At least once
per month we have a health - related presentation for the Wednesday
lunch. We offer workshops a minimum of each quarter. •
• We will host our Community Flu Shot and Health Fair in Fall of
2012. I will submit grant proposals for this event and will make
every effort to have increased attendance.
• I am involved when time permits with both the Health Trust and
Senior Center Director Collaborative.
• We will host the Senior Roundtable in April.
• We have expanded our support group service to Saratoga
Retirement Community and to that end have gained two clients.
• We have utilized the volunteer services of two Eagle Scouts this
year, to the benefit of both those individuals and the organization.
• We are expanding our Email marketing, splashes and reminders.
• We have streamlined our Business Alliance Program presentation
materials for potential sponsors and continue to pursue local
businesses. This program provides not only funding for our
operations, but is an excellent networking tool as well.
• We are continuing with our regular program of local restaurant
fundraising nights.
• We continue with our Shredding program, CafeGive and S.H.A.R.E.

2011 -2012
I. Expense Reductions
• Long -term part time staff position was eliminated after already being reduced 2 years
ago. Duties were redistributed with a resultant reduction in hours.
• Over 2.5 years staff has been reduced from 8.25 FTE's to 7.15 FTE's to 6.45FTE's;
4.4 of the current FTE's are in the Adult Care Center and cannot legally be reduced
further at our attendance levels.
• Daily adjustments are made to Adult Care Center staff on an as- needed basis to
minimize labor costs as much as possible. We have one on call program assistant.
• No staff raises for the fourth consecutive year
• Wednesday lunch for seniors has been reorganized by a board committee. The chef
has been eliminated and lunch is catered by local restaurants. Counts are static and
we hope to grow this program significantly with continued efforts. Additional ways
of reducing lunch costs are being explored.
• All design and production of ads, fliers and brochures are done in -house
• We continue to build upon email delivery of newsletter.
• • For members who do not use email, we have reduced costs associated with newsletter
by making it smaller by 27 %.
II. Revenue Increases
• Raised SASCC membership fees from $45 to $55 for 2013
• Increased Adult Care Center fees from $25 to $50 at the lowest level, $70 to $85 at the
highest level starting in Q4.
• Increased class fees in Senior Center by another 5 %.
• Doubled the number of classes and programs offered in the Senior Center since 2007-
2008. We offer a minimum of 20 new programs per year with the goal being to attract
new members and increase participation of current members.
• All Senior Center instructors are contracted on a percentage basis so all classes are
revenue producing.
• Extended Adult Care Center hours to include furlough weeks and some Saturdays. We
have learned that the Saturday program is not as popular as we had expected.
• Expanded semi- annual appeal letter mailing list to reach more potential donors. We
have utilized an electronic mailing list database (through a donation) which gives
access to additional addresses. Our first appeal has exceeded total budget by almost
$3K.
• Business Alliance Program is at $6,500. Over 20 local businesses have been
• approached this year.
• Shredding services, a program established in fiscal 2010, has provided a steady source
of fiends. We have continued with our smaller revenue streams including Cafe give,
restaurant give back programs, Avon sales, Lucky Stores, and our cookbook with year
to date proceeds over $3,500.
Continued marketing and communications outreach, including Pacebook presence, E-
splash, continually updated website and improved brochures. Exploring new ways to
market our services without advertising costs.
With last year's decision to move to Morgan Stanley Smith Barney we are
experiencing much more proactive fund management and more rapid response to
change in the financial markets.
III. Trends and IIighlights
• ACC attendance has increased over 40% from July 2011.
• Our current pay mix of ACC clients is moving closer to the higher end of fees, which
will assist us as we move forward with fee adjustments. 66% are from Saratoga.
• For mid March, we are running 92 client days per week which represents a 28%
increase over the 72 client days in the same period last year.
• SC peak membership was 757 this year, a 6.7% increase over last.
• We are trending a 5% increase in Senior Center utilization as of Q2 numbers and the
projected amival number.
• Our continued outreach to the Indian community has gained us 100% membership in •
the Anandvan discussion group, a new client in the ACC, 2 new programs and active
volunteers.
• Efforts to combine our Wednesday lunch with local restaurants has kept lunch
numbers static. We anticipate growth as we continue with this collaboration.
• The expansion of our support services to Saratoga Retirement Community has gained
us 1 client in the ACC and 1 more pending. We are working closely with this
community on one more opportunity which would be to provide transition services to
some of their clients.
The sheet on the following page shows participation levels over 5 years of programs which we
would consider to be indicative of our membership. Some of the numbers are declining as the
age of our clientele grows, but they are anchors nonetheless. We continually evaluate in order to
recognize trends and weaknesses, then inject new teachers, classes, timeslots or other variables to
keep numbers strong or bring them back. Eventually as a result of this process there will always
be cancellations as well.

BUSINESS ALLIANCE PROGRAM
WORKING TOGETHER TO BRING BUSINESS TO SARATOGA AREA SENIORS!
C
SARATOGA AREA SENIOR CENTER
The Saratoga Area Senior Center was founded in 1979 to serve the needs of the Saratoga area older adults. We are a
501(c) (3) private, non - profit corporation. We provide services through our two divisions: the Saratoga Senior Center
and the Saratoga Adult Care Center.
Most senior centers are funded by the city in which they are located. Quite differently, our center relies on funding from
memberships, program fees, and fundraisers, with about 15% coming from foundation and government grants. The City
of Saratoga provides us our facility at no charge and a small amount of funding annually based on how much it can
afford.
There is a dichotomy that is prevalent in the Bay Area where rapidly rising housing prices make older, fixed income
residents, "paper rich and cash poor ". Given that, a significant portion of participants in our Adult Care Center qualify as
low income individuals and a few through scholarships when funding is available.
As a part of our mission, we offer programs and services that will keep our members healthy in mind, body and spirit.
We continually strive to build a membership that mirrors the diversity of the community.
What is the Business Alliance Program?
• The Business Alliance Program (BAP) solicits much needed sponsorship from local businesses.
• Our members are introduced to your business with the knowledge that you are interested in the welfare of the
area seniors, the center and its members.
Why should a potential BAP sponsor be interested in senior citizens from the Saratoga area?
• There were 8500 Saratoga residents, 55 years and older in the 2010 census. Based on the demographics of the
census, there will be close to 14000 residents in this age group by 2020.
• This age group controls the majority of wealth and makes the majority of discretionary purchases.
• Median family income in Saratoga was $152K (2006) and the median house /condo value was $1.664M
What does the BAP Member get? (Based on Sponsorship Level)
• Advertising in the Monthly Outlook Mailer and annually featured in article in Outlook
• Placement on the BAP Member Wall of Fame and linked into our Website
• Annual BAP luncheon with SASCC members and listed in all other Center activities
• Window decal reflecting BAP sponsorship and you get a tax deduction for a great cause
• Through donations, BAP members help to fund the programs and services of our community's senior center and
at the same time, gain access to a growing membership of affluent and educated consumers.

—FAQ's about the Saratoga gduft Care Center
Q: What is the Adult Care Center (ACC)?
A: The Adult Care Center is one of the two program divisions of SASCC and one of Saratoga's
"best kept secrets." The ACC provides a structured activity program for less independent adults in
Saratoga and the West Valley Area. Activities include music, table games, word games, adaptive
exercise, and art. Also included daily are two snacks, and a freshly prepared lunch. Equally
important is the respite resources and support we provide to families and caregivers. For our
monthly activities and menus please go to our website: sascc.org under "ACC Calendars."
Q: How often is the ACC program open?
A: We are open Monday through Friday from 10:00 a.m. to 3:00 p.m. We have extended care
hours available to support family caregivers who are working.
Q: Who can come to the program?
A: Older adults who have physical or cognitive limitations, and those who are at risk for social
isolation due to limited mobility. Often individuals living in Board and Care Homes or skilled
nursing facilities attend our program to supplement minimal activities offered in those care settings.
A completed physician's report is required for enrollment.
Q: How can I enroll my family member?
A: We encourage families interested in our program to come and view the program and schedule a
time for their family member to come for a "visit day." This gives the potential participant the
opportunity to meet other participants, join in the conversation, activity, and lunch. The visit day
to our program is complimentary and offered at no obligation. An admission's agreement and
admission packet must be completed prior to admission. We have a two -day a week minimum.
Q: Do you have drop -in program?
A: No. Families and participants are encouraged to pick set days based on the activities that appeal
to them most. Priority is given to families already enrolled in the program to add more days to
their attendance schedule as spaces become available. We do maintain a waiting list.
Q: How much does the program cost?
A: There is a fee of $70.00 per day to attend the program. This includes snacks, meals, and five
hours of structured, supervised and supportive activities. A fee reduction form can be submitted for
those on a limited income. Scholarships are available for those with no source of income.
-For more information about our program services, please contact
Amy Leeman, M.S., Social Services /ACC Division Manager at (408) 868 -1262

Social Group Meets every Wednesday in the Fireside Room
10:15 a.m. -11:45 a.m.
We have been treated to exceptionally "Spring" like weather in February with limited rain. However, we need rain to
produce a full -blown Spring and to look forward in showing off its colorful flora.
Valentine's Day is always wonderful to celebrate family and friends with love. It was the pope who set aside February
14th to honor St. Valentine (patron saint of lovers) in 496 AD. However, the day was not often celebrated until the mid-
dle ages. Gift giving and exchanging home -made gifts became common in England around the 18th century, while in
the 1840's the holiday caught on in the U.S.
The movie "The Woman in Black" stars Daniel Radcliffe as he tries to emerge from his most famous role, Harry Potter.
He is reportedly worth $44 million now at 22 years of age.
Queen Elizabeth at 85, her 60th year on the throne- called the Diamond Jubilee -will be celebrated in June. The monarch
has been supported by Prince Phillip, who turned 90 last June. About his grandparents, Prince Harry highlighted the
role of Prince Phillip in supporting the Queen on her many duties. He also paid tribute to the monarch's hard work with
the support of Prince Phillip despite their ages.
Five SG members enjoyed a delightful lunch at Gunther's German restaurant on the corner of Hamilton and Meridian.
Respectfully, Jo Fladager

HEALTH TALK BY DR. BELCHER
Osteoporosis, which means "porous bones," causes bones to become
weak and brittle — so brittle that a fall or even mild stresses like
bending over or coughing can cause a fracture. In many cases, bones
weaken when you have low levels of calcium and other minerals in
your bones. Join Dr. Belcher as he discusses the risk factors, treatment
options, and how to prevent osteoporosis.
ST. PATRICK'S DAY LUNCHEON
Please welcome Sue & Burr with The Stewart Tartan Pipes & Drums of
San Francisco. Sue & Burr have been playing and piping for 22 years.
Besides playing with The Stewart Tartan Pipes & Drums band, they also
play gigs on their own. Come out and enjoy the pipes and singing to
songs such as It's a long way to Tipperary, Wearin of the Green,
Minstrel Boy, Danny Boy, Molly Malone, When Irish Eyes are Smiling,
and My Wild Irish Rose, Back to Donegal and other Irish tunes.
THIS WONDERFUL MEAL WILL BE PREPARED BY SUZY SIEGLER, FORMER BOARD MEMBER
& LUNCH COORDINATOR FOR THE ADULT CARE CENTER.
COST: $10 MEMBERS /$12 NON - MEMBERS

A PRESENTATION ON HOW TO
ELIMINATE STRESS IN YOUR LIFE
This presentation will teach you how to eliminate stress so that you
can have breakthrough communications and stay in dialogue when
things turn emotional. You will learn how to release strong emotions
so you can successfully talk about what needs to be talked about.
Where to start? Get clear on what you want, why you want it and
you'll be much more likely to succeed. The presenter, Randy Hold,
from California Stress Relief Center (Palo Alto, CA) is a master
trainer with years of training experience in Corporate America.
Randy has a BS from USF and a Certified EFT Practitioner
