CONFIDENTIALITY AGREEMENT
• As an employee of the City of Saratoga (“I”) shall keep in the strictest confidence and shall not sue,
distribute, reproduce, or disclose in any manner to any third parties, or apply to my own personal
benefit, any record or confidential information, data, or materials (“Confidential Information”) of the
City of Saratoga (“City”) outside the intended and approved use. “Confidential Information” shall
include, but is not limited to, the following: trade secrets, personnel records or information, financial
records or information, medical records or information, resident records or information, records or
information regarding persons who are receiving services or other assistance from the City, oral and
written information or documentation shared through any position at the City, through vendor records
or information, membership lists, other employee-related information, or records. “Confidential
Information” also includes, but is not limited to, the following when designated as “confidential”:
financial records or information and the contents of any reports, studies, or surveys prepared by or for
the City.
• The unauthorized access to, distribution, reproduction, modification, deletion, or disclosure of
“Confidential Information” may compromise the integrity of confidential data or otherwise violate
individual rights of privacy and/ or constitute a criminal act and is strictly prohibited. Illegal access or
misuse of this information will be addressed by appropriate means.
• City computer systems are for the use of authorized users only and for the purpose of City business
only, except that minimal private use is acceptable so long as I understand that I have no rights of
privacy as to any information or file maintained in or on City’s property or transmitted or stored
through City’s computer systems, voice mail, e-mail, or other technical resources or equipment. For
purposes of inspecting, investigating, or searching my computerized files or transmissions, voicemail,
or e-mail, City will override any passwords or codes if City determines in its sole discretion that such
activity is in the best interest of City, its employees, or its clients, customer, or visitors. All bills and
other documentation related to the use of City’s equipment or property are the property of City and
will be reviewed and used for purposes that City in its sole discretion considers appropriate. I
understand that I may access only files or programs, whether computerized or not, that I have
permission to enter. Unauthorized review, duplication, dissemination, removal, damage, or alteration
of files, passwords, computer systems, software or programs, or other property of City, or improper
use of information obtained by unauthorized means, will not be tolerated and will result in my
assignment ending and other corrective actions applicable.
• I agree not to divulge in any way any information mentioned above or otherwise protected by privacy,
confidentiality, or law. Should I want to use any document without confidential information (such as a
form or template) for my employing entity, I will request and obtain permission from the Saratoga City
Manager to do so.
