SUBJECT: Award of Consulting Services Agreement with Michael
Brandman Associates for the preparation of the Nelson Gardens
Focused Environmental Impact Report
Recommended Motion:
Move to accept the attached proposal from Michael Brandman Associates to
prepare the Nelson Gardens Focused Environmental Impact Report for
$27,950 per the attached Scope of Work.
Project Summary:
Trinity Development has submitted applications to develop the property
located at 20851 Saratoga Hills Road with 9 single- family residential
lots. The requests include the Tentative Cancellation of the Williamson
Act Contract, a General Plan Amendment, a Zone Classification Change and
a Vesting Tentative Subdivision Map.
Environmental Determination:
On September 20, the City Council accepted the applicants proposal to
have prepared a Focused Environmental Impact Report. The applicant
suggested the EIR even with the Planning Commission's recommendation to
adopt a Mitigated Negative Declaration so that there would be no
question that everyone's questions had been answered.
The California Environmental Quality Act Guidelines state that the City
is responsible for the preparation of the EIR. The Guidelines allow the
City to contract for consultant services to prepare the EIR. The City
selects the consultant, reviews the work and pays for the EIR. The
applicant deposits money with the City which is used to pay the
consultant. Therefore, there is no cost to the City in preparing the EIR
for the Nelson Gardens project.
Fiscal Impacts:
None. Community Development Department staff will be compensated for
staff analysis of the consultant's EIR (200 of cost of EIR) and
administrative overhead (22.8% of staff analysis fee).

METHODOLOGY /SCOPE OF WORK
SCOPE OF WORK
MBA is prepared to take responsibility for project initiation and organization, preparation and processing of
all CEQA notices, data compilation, impact assessment, development of mitigation measures, report
compilation and distribution, legal monitoring and review, response to public comments on the draft EIR,
public meetings and hearing attendance, coordination between City of Saratoga staff and the MBA project
team, preparation of the findings, and preparation of a mitigation monitoring plan, to the extent presented in
this Scope of Work.
The format and content of the report will be in full compliance with CEQA, the State CEQA Guidelines, and
all appropriate City of Saratoga development guidelines. The organization of the EIR will provide for existing
conditions, impacts, and mitigation measures addressing topical issues. The text will be supplemented with
graphics and summary tables, as necessary, to present the information in a concise and easily understood
format. Work products will consist of professionally photocopied reports in comb bindings, unless other
specific approaches are proposed.
The proposed scope of work that follows has been organized into major tasks. We view our work as a
partnership between the City and the MBA project team and anticipate discussing refinements to the scope of
work, budget, and project schedule during the initial task, if needed.
Pu=: To obtain information necessary for preparation of the complete proposed project and
alternatives descriptions, to establish early communication among the various project team
members, and to familiarize the MBA team with the issues and concerns identified for analysis.
Approach: 1. Attend initial orientation meeting with City of Saratoga staff and the MBA project
manager to review the proposed project scope of work and agree on elements to be
included in the description of the project and alternatives.
2. Review and confirm that the project information previously submitted and as documented
in the previously prepared MND and staff reports is suitable for use in developing the
project description for the EIR. The information to be provided will include project
objectives, a land use plan, land use data, narrative program description, and design
graphic renderings sufficient to depict the project's appearance and character.
3. Receive alternative site criteria, land use data, and narrative program descriptions on
project alternatives from the City of Saratoga that are sufficient to develop the EIR
description of alternatives.
4. Refine the project schedule based on agreements reached during contract negotiations and
information discussed at the initial meeting.

5. Receive all existing reference and research material related to the project, project site,
and vicinity, including base maps, aerial photographs (if available), and recent local
E1Rs.
6. Conduct an in -house project team start -up meeting to initiate work efforts by all team
members.
Pests: 1. One (1) orientation meeting with the City of Saratoga
2. Refined project scope and revised schedule, if needed.
Purpose: To prepare an Initial Study evaluating the potential environmental impacts of the Nelson
Gardens project and identifying issues that require evaluation in the EIR.
Approach: 1. Prepare an Initial Study, according to CEQA requirements, the State CEQA Guidelines
(Section 15063), and procedures of the City of Saratoga. The Initial Study will comply
with the content requirements established by the 1994 modifications to the CEQA
Guidelines affecting the use of initial studies, and of recent case law, specifically Citizens
Association for Sensible Development of Bishop Area v. County of Inyo (1985) and
Sundstrom v. County of Mendocino (1988), wherein both a check_ list of impacts and
reasoned explanations of the findings of the study are needed.
2. Identify issues for which no significant impacts will occur (therefore needing no
additional consideration) and identify topics_ that will require further evaluation in the
EIR. This will focus and precisely define the scope of the EIR, will provide a strategic
action plan for completing the environmental process as efficiently as possible, and will
determine the most effective approach for addressing the consultations and approvals of
other agencies.
3. Prepare a draft Initial Study for City of Saratoga Planning Department review.
Following receipt of comments on the draft Initial Study, revise and submit the final
Initial Study to the City for use with the Notice of Preparation.
Products: 1. Five copies of the draft Initial Study.
2. Fifteen copies of the final Initial Study.
E=se: To prepare a comprehensive and legally defensible focused EIR for the City of Saratoga on the
Nelson Gardens Project.
Approach: 1. Prepare the project description section of the EIR, based on information included in the
project application, the previously prepared Mitigated Negative Declaration and
Supporting technical reports, and provided during project initiation, to include the
following:

Regional and local setting.
b. Project history.
C. Objectives of the project, including: (a) Tentative cancellation of the Williamson
Act agricultural preserve contract on the Nelson Gardens property to allow
consideration of future development on the site consistent with Saratoga's General
Plan, Area B Specific Plan & Zoning & Subdivision Ordinance; and, a (b) to
develop a maximum of 9 single - family dwelling units on the 5.1 acre site in two
phases. Phase one includes development of the 7 lower lots within the R- MD /R -1-
12,500 designation and Phase II includes the two upper hillside lots.
d. Project characteristics, including any discretionary actions required by the lead
agency, and important project features. Known discretionary actions to date
include the following: Tentative cancellation of the Williamson Act Contract,
General Plan and Zoning Ordinance Amendments to allow the properties to be
reclassified from Open Space - Outdoor Recreational /Agricultural designation to
a Residential -Very Low Density & Medium Density/R- I - 12,500 and R- 1- 40,000
designation, and Tentative Subdivision Map approval.
Intended uses of the EIR (as required by Section 15124(d) of the State CEQA
Guidelines), including a list of responsible and other agencies expected to use the
EIR in decision making, and a list of approvals for which the EIR will be used.
2. Identify reasonably anticipated projects in the study area that may result in cumulative
impacts when combined with the proposed project, based on information from City of
Saratoga staff and MBA's familiarity with the City (e.g. Odd Fellows Master Plan EIR,
Kerwin Ranch etc.). These potential projects will be reviewed for appropriateness with
the City of Saratoga and will be considered throughout the impact evaluation.
3. Describe effects found not to be significant, in accordance with Section 15128 of the
State CEQA Guidelines, by listing them with brief explanations of why they are not
significant, or by referral to the Initial Study. For purposes of this scope of work and
budget, the following topics are assumed to be listed as effects found not to be
significant: Air quality, noise, water supply, Risk of upset, population, housing, public
services (excluding drainage), energy, utilities, human health, recreation, and cultural
resources.
4. A key element of the EIR process is to propose actions that can eliminate or reduce
adverse impacts. Mitigation measures will be identified for each significant impact.
Mitigation measures will be as specific as possible and tied to performance standards,
implementation actions, General Plan policies, or other programs. Such measures will
be qualified where possible to provide an understanding of the degree of reduction that
can be accomplished for adverse impacts. Mitigation measures will be grouped into
categories as follows:
Features that are part of the proposed actions.
Mitigation measures necessary to reduce or eliminate significant impacts.
Suggestions that could be incorporated to eliminate or minimize nonsignificant
impacts.

When several potential mitigation measures are available, rationale for choosing one over
others will be stated. Direct and indirect adverse effects that may result from the
implementation of mitigation measures will be identified and discussed. For each impact,
the EIR will assess whether the program mitigation could be expected to reduce the
impact to an acceptable level.
5. Document baseline conditions, conduct impact evaluations, and formulate mitigation
measures. Specific topical areas to be addressed, the general approach to be used, and
the known issues to be confronted in each section are described below. Growth- inducing
and cumulative impacts will be comprehensively evaluated separately in the EIR.
a. Land Use. Annlicable Plans and Policies—Existing land uses in the immediate
vicinity of the project will be identified from existing information and a field visit.
An existing land use map will be presented in the EIR. Existing land uses in the
vicinity of the project site are characterized primarily by low density residential
development or mountainous and orchard open - space. The EIR will evaluate the
proposed land uses in relation to surrounding land uses within Planning Area B,
(Congress Springs Pierce Road) and will address the compatibility of the uses with
these areas. Impacts on existing and potential future land uses in the project
vicinity will be assessed in both the construction (short -term) and operations (long-
term) phases. Density, interrelationship of uses, and environmental impacts will
also be addressed from a land use impact perspective. The proposed project will
be evaluated with respect to the existing General Plan land use designation (Open
space - Outdoor Recreational /Agricultural designation) and existing zoning with the
designations that were in place prior to the property's designation as a Williamson
Act Property, and with the intent of the Area B Guidelines for Development.
Measures will be recommended to reduce or eliminate adverse land use effects, if
necessary.
b. Tran=rtation /Circulation —Based on traffic data provided by the City Engineer,
the EIR will present a summary of the existing, existing -plus- cumulative, and
existing - plus - cumulative- plus - project traffic conditions. Impacts to -key critical
intersections will be assessed by the City traffic Engineer and mitigation measures
recommended as necessary.
C. Aec h ticsNi gal Reco rLCPC - -The potential impacts from construction and use of
the proposed property development of the Nelson Gardens will be assessed in
terms of visibility of the project, alteration of the visual setting relative to proposed
grading and potential obstruction of existing view sheds, sensitivity of viewpoints,
and light and glare impacts. Particular emphasis will be afforded to the conversion
of 5.1 acres of agricultural land and subsequent potential loss of open space to
residential uses. Illustrations will be included, as available from the applicant.
Mitigation measures will be recommended, as necessary, to reduce any significant
impacts.
d. Earth Resources —The potential for impacts from soil, geological conditions or
topographic changes onsite will be evaluated for the proposed development of the
Nelson Gardens Project, Phase I and II. This section will emphasize geotechnical
hazards, seismicity of the area, potential for liquefaction and subsidence, and

erosion and landslide problems, as applicable. This analysis will be based on
existing geotechnical and soil data prepared by Freeman -Kern Associates, Inc., as
well as geotechnical analysis prepared by the City's geotechnical consultant. New
photographic interpretation of geologic conditions or site testing is assumed to not
be needed. Appropriate mitigation measures will be recommended, if necessary.
e. Hydrolog /Drainaee —The construction and operational impacts of the proposed
project on surface runoff, flooding, the increase in impermeable surface area, and
other aspects of the local hydrologic cycle, including the intermittent drainage
system which run across Lot 8 will be evaluated, as applicable, based on technical
information provided by the applicants hydrology consultant. Mitigation measures
for hydrology and drainage impacts will be recommended, as needed.
f. Biological Resources —MBA will incorporate and summarize the existing technical
reports, including "Nelson Foundation Property Wildlife Assessment" prepared by
Harvey and Stanley Associates in 1988, "Nelson Foundation Property, Biological
Assessment" prepared by H.T. Harvey & Associates, July 18, 1995, and the City's
Arborist Report dated February, 1995. For the purpose of this analysis, it is
assumed that additional field work including focused surveys for Special -Status
plant and animal species, California Species of Special Concern, State - Protected
or Federal Candidate Species would not be needed. Should the City of Saratoga
request that additional field work be completed, MBA can provide these services
under an expanded scope and budget augment.
Mitigation measures necessary to lessen impacts on biological resources within the
project's boundaries will be provided.
5. Discuss all significant unavoidable adverse impacts, in conformance with the State CEQA
Guidelines, Section 15126(b). Included in the discussion will be any impacts that can be
partially mitigated, but not to a level that is less than significant. Any mitigation
measures eliminated because of new impacts associated with their implementation will
also be discussed.
6. Evaluate cumulative impacts in the EIR. The analysis will address known projects, either
approved or proposed within growth areas in the vicinity of the project. The use of
projects will be proposed by MBA for City of Saratoga staff approval. The cumulative
impact assessment will be _ based on reasonably anticipated adverse environmental
impacts. Projects will be identified in the initial work task and verified with City of
Saratoga staff. The findings of recent court cases regarding the scope of cumulative
impact discussions in EIRs will be used to ensure that this section addresses all pertinent
issues. Some of the major issues include traffic generation, land use, and biological
resource preservation and hydrology /drainage.
7. Pursuant to Section 15126(8) of the State CEQA Guidelines, discuss potential growth -
inducing impacts of the proposed project in the EIR. Potential sources of growth
inducement and their impacts will be qualitatively analyzed, such as removal of obstacles
to growth, major new employment generation, or major economic influences, to the
extent that they are applicable.

8. Prepare the alternatives section of the EIR, based on directives for City of Saratoga staff.
MBA will address up to four project alternatives to the proposed plan, including the no-
project alternative. The alternatives section will provide sufficient detail for comparison
with the proposed project. Each alternative will be evaluated with respect to each key
impact category reviewed for the proposed project (e.g., traffic, plant & animal life,
hydrology). During the course of environmental analysis, minor variations to the
proposed project that could have the effect of reducing or eliminating environmental
concerns may become apparent; these variations will be evaluated and documented.
MBA understands that the City would like the following three alternatives analyzed in
addition to the no- project/no development alternative: (a) Alternative Site (two sites);
(b) Alternative Use; and Development of Site under Existing Zoning.
Discuss, as required by the State CEQA Guidelines, the advantages and disadvantages
of each alternative and the reasons for rejecting or recommending the project alternatives
stated. The environmentally superior alternative will be identified. A summary of the
various alternatives and associated impacts will be provided as part of the EIR summary.
9. Prepare a summary presenting the significant conclusions of the EIR for the City of
Saratoga in a manner that is easily understood by the public. A summary "table" format
will be used to identify the significant impacts and the effectiveness of the recommended
mitigation measures. A summary of the alternatives analyses will also be presented, as
will issues still to be resolved and issues subject to potential controversy.

11. Conduct quality assurance review of the document for compliance with CEQA and
City of Saratoga guidelines.
Products: 1. Five (5) copies and one reproducible copy of the complete administrative draft EIR.
Pu=se: To respond to the City of Saratoga's staff comments on the administrative draft EIR, complete
necessary revisions, and publish the draft EIR for public review.
Approach: 1. Coordinate with the City of Saratoga project coordinator who will assemble comments
on, and suggested revisions to, the administrative draft EIR. One set of unified
comments will be provided to MBA.

2. Complete revisions to the administrative draft EIR, pursuant to review comments.
Revisions will be prepared in conformance with the scope of work.
3. Prepare and reproduce the draft EIR for submittal to the City of Saratoga for its
distribution to the public.
Products: 1. Fifty (50) copies and one reproducible of the draft EIR.
R To prepare an administrative final EIR with written responses to comments received on the
draft EIR that raise significant environmental issues and submit them for the City of Saratoga's
staff review after the close of the public comment period.
Approa 1. The City of Saratoga's project coordinator will compile and transmit to MBA all written
comments on the draft EIR.
2. Confer with the City of Saratoga's staff to review written comments on the draft EIR and
comments from public meetings and hearings to develop a general framework and
strategies for preparation of responses. The format of the final EIR will be as an
attachment of responses to comments to the text of the draft EIR. Revisions of the draft
EIR text and reprinting it as part of the final EIR are assumed to not be needed.
3. Submit the administrative final EIR with draft responses to comments for staff review.
Responses that are within the scope and budget consist of explanations, elaborations, or
clarifications of the data contained in the draft EIR, with a budgeted effort of up to 40
hours. tf new analysis, issues, alternatives, or substantial project changes need to be
addressed, or if effort exceeds the budget amount because of the number or complexity
of responses, a contract amendment would be needed
Products: 1. Five (5) copies and one reproducible copy of the administrative final EIR.
Task F: Preparation of Fmmal EIR
P gam: To prepare a final EIR that contains a list of commentors, comment letters, and responses to
comments.
Approach: 1. Coordinate with the City of Saratoga's project coordinator who will assemble comments
on, and suggested revisions to, the administrative final EIR. One set of unified
comments will be provided to MBA.
2. Based on staff comments, complete revisions to the responses to comments. Revisions
will be prepared in conformance with the scope of work.
3. Assemble and reproduce the final EIR for submittal to the City of Saratoga for
distribution to the public.
Pests: 1. Twenty (20) copies and one reproducible copy of the Final EIR.

II -7 Methodology /Scope of Work
E se: To be present at public meetings and hearings, to develop an understanding of the public's
comments and concerns, to be available to answer questions on environmental issues, and to
make presentations on the EIR.
Approach: 1. Attend a maximum of five (4) public hearings by the Project Manager and /or Principal-
in- Charge. Such meetings could include hearings on the draft and final EIR before the
Planning Commission and City Council.
2. Conduct presentations, as required, regarding the EIR process and findings, and be
available to answer questions that may arise at public hearings or meetings.
Products: 1. Attendance by the Project Manager and /or Principal -in- Charge at up to four (4) public
meetings and hearings at no cost the City of Saratoga.
Task He Preparation of CEQA Notices
Ems: To prepare all CEQA - required notices in compliance with state legislation and guidelines.
Approach: 1. Prepare the notice of completion (NOC), and the notice of determination (NOD), in
compliance with the State CEQA Guidelines.
2. Submit the draft notices for the City of Saratoga's review and revise them, based on staff
comments. Submit final notices for distribution by the City of Saratoga.
Products: 1. Five (5) copies of the draft NOC and NOD.
2. One (1) reproducible master and five (5) copies of the final NOC and NOD.
Purpose: To manage the focused EIR preparation effort and to maintain close communication between
City of Saratoga staff and project team members. This task is also intended to ensure that the
project is running on time and within budget, as well as being technically correct and legally
defensible.
Approach: 1. Communicate as necessary with project team members and the City of Saratoga staff for
compliance with the schedule, scope of work, and budget. Coordinate the work of the
team and provide management liaison between the team and the City of Saratoga for
communication of issues, transmittal of comments, financial management (e.g.,
invoices), and other project management matters.
2. Attend project coordination meetings with City of Saratoga staff, and the applicant (as
appropriate). The proposed scope of work includes attendance at a maximum of five
project meetings (in addition to the project kickoff) by the project manager. Anticipated
meetings could include: Administrative Draft EIR: Status of Preparation; review of
Administrative Draft EIR; and a strategy session .regarding DEIR comments. These
meetings may be reassigned as requested by City staff. Other meetings may be attended

on a time - ;and - materials basis additional to the proposed price with prior authorization by
the City of Saratoga.
Products: 1. Attendance at up to five project meetings by the project manager.
Task J: Written dings Required by Sections 15091 and 15093 of the State CE(QA
Guidelines*
P1t[mse: To prepare the written findings for each significant effect identified in the EIR, pursuant to
Section 15091 of the State CEQA Guidelines (Section 21081 of CEQA), and the Statement of
Overriding Considerations *, pursuant to Section 15093 of the State CEQA Guidelines.
Approach: 1. Prepare draft findings for each significant effect identified in the EIR and a Statement of
Overriding Considerations, if unavoidable significant impacts occur. As required by the
State CEQA Guidelines, on of three findings must be made for each significant effect and
must be supported by substantial evidence in the record. The Statement of Overriding
Considerations will rely on input from the City of Saratoga regarding the benefits of the
project.
2. MBA project team leaders will consult with the City of Saratoga staff to review draft
findings and to finalize them.
3. Submit final Section 15091 findings and the Statement of Overriding Considerations to
the City of Saratoga.
Product: 1. Five (5) copies of the draft findings and Statement of Overriding Considerations.
2. One (1) finalized, camera -ready master of findings and Statement of Overriding
Considerations.
Preparation of the Written Findings and Statement of Overriding considerations is
included as an additional task and is not included in the total budget.
Eu=se: To comply with Public Resources Code Section 21081.6, as mandated by Assembly Bill (AB)
3180 (Cortese 1988), to prepare a -mitigation monitoring program (MMP) for adoption at the
time of the CEQA findings.
Approach: 1. MBA will prepare a draft MMP concurrently with the preparation of the final EIR's
response to comments. The MMP must be designed to ensure compliance with adopted
mitigation requirements during project implementation. In coordination with City of
Saratoga staff, MBA will prepare the MMP for mitigation measures that address
significant impacts or are adopted as conditions of approval.
2. The program will be designed to fit into the City of Saratoga's existing entitlement and
project review process. The MMP is proposed to include the following components:
Introduction and Purpose of the Program, Roles and Responsibilities, Monitoring and
Reporting Procedures, and Master Mitigation Matrix. MBA will coordinate with City

of Saratoga staff to refine the NMV content and format prior to preparing the draft
Nfw.
3. After review and comment on the draft MAW, MBA will revise the MMP according to
the comments provided and submit the final MAW.

The assumptions used in calculating the above fees are:
1. The proposed price is valid for up to 60 days from the date of the proposal, after which it
may be subject to revision.
2. Printing costs are based on the method of printing (black and white only) and binding
proposed, specific number of copies proposed as work products, and estimated page lengths.
Different printing and binding methods, additional copies, or substantially longer reports can
be provided on a time- and - materials basis additional to the proposed price.
3. The City of Saratoga will provide the following technical studies: Traffic Report including
recent (post -Route 85) traffic counts at key critical intersections, Hydrological Report
(prepared by applicants Hydrology consultant), Geotechnical Report for the Nelson

are not complete or not adequate for use in the EIR process, the project schedule and
proposed price may need to be revised with mutual agreement.
4. The City of Saratoga will provide MBA reduced, camera -ready base maps, suitable project -
area aerial photographs, and project and alternatives description graphics suitable for use in
the environmental document.
5. The proposed price is based on completion of the work within the proposed schedule. If
substantial delays occur, an amendment of the price would be warranted to accommodate
additional project management and other costs, and to reflect adjustment for updated billing
rates. Substantial delay is generally defined as 15 days or more.

Recommended Motion(s
1. Move to declare Pavex Construction Company of Redwood City to be
the lowest responsible bidder on the project.
2. Move to award a construction contract to Pavex Construction
Company in the amount of $258,830.53.
3. Move to authorize staff to execute change orders to the contract
up to $15,000.
Report Summary:
Sealed bids for the 1995 Pavement Management (Pavement Overlay)
Program, were opened on September 27. A total of four contractors
submitted bids for the work and a summary of the bids received is
attached (Attachment 1). Pavex Construction Company of Redwood
City submitted the lowest bid of $348,175 which is 8.6% below the
Engineer's Estimate of $381,108. Staff has carefully checked the
bid along with the listed references and has determined that the
bid is responsive to the Notice Inviting Sealed Bids dated
September 6.
It is therefore recommended that the Council declare Pavex
Construction Company to be the lowest responsible bidder on the
project, and award the attached construction contract (Attachment
3) to this firm in the amount of $258,830.53 for reasons specified
below. Further, it is recommended that the Council authorize staff
to execute change orders to the contract up to an amount of $15,000
to cover any unforeseen circumstances or quantity increases which
may arise during the course of the work.

Fiscal Impacts•
Funding for this work is programmed in the adopted budget in
Activity 31 (Street Maintenance) , Account 4510 (General Contracts) .
The adopted budget contains $400,000 for the Pavement Management
Program which includes both the slurry seal and pavement overlay
components. At the Council meeting earlier this week, you awarded
a contract for the slurry seal work in the amount of $125,975,
leaving $274,025 available for the pavement overlay work.
Since the bid opening, staff has worked with the low bidder to
develop a reduced scope of work for the project which falls within
the available budget and which will not significantly impact the
City's overall pavement management efforts. The recommended
reductions which meet these criteria are the deferral of pavement
overlays for one year on the following streets:
1. Allendale Ave. west of Fruitvale Ave.
2. Devon Ave.
3. McFarland Ave. between Devon /Montrose and Saratoga Ave.
The remaining work to be done for this year is along Quito Rd.
between Cox Ave. and McCoy Ave. in conjunction with the landscaping
improvements planned by the Sunland Park Homeowners; Clemson,
Swarthmore, and Vanderbilt Aves. within the Sunland Park
neighborhood; and Pierce Road immediately adjacent to the limits of
the bridge replacement project. The recommended deferrals will
reduce the amount of the bid by $89,344.47, resulting in a
recommended contract award amount of $258,830.53 (Attachment 2).
Advertising, Noticing and Public Contact:
Nothing additional.
Consequences of Not Acting on the Recommended Motions:
Pavex Construction Company will not be declared the lowest
responsible bidder and a construction contract will not be awarded
to that firm. The Council may make specific findings to declare
another bidder to be the lowest responsible bidder, or reject all
of the bids and direct staff to re -bid the entire project.
However, staff does not believe that a lower bid will be obtained
by re- bidding the project due to the relatively small spread
between the first two low bidders.
Follow Up Actions:
The contract will be executed and the contractor will be issued a
Notice to Proceed. Work will most likely begin before the end of
the month and last through the end of November.

CONTRACT FOR PUBLIC WORKS CONSTRUCTION
1995 PAVEMENT MANAGEMENT PROGRAM
THIS CONTRACT, made this 4th day of October, 1995, by and between
the City of Saratoga, a Municipal Corporation, in Santa Clara
County, California, hereinafter called the City, and
Pavex Construction Company
hereinafter called the Contractor.
WITNESSETH:
WHEREAS, the City has caused to be prepared in the manner prescribed
by law, plans, specifications and other contract documents, for
the work herein described and shown and has approved and adopted
these contract documents, specifications and plans and has caused
to be published in the manner and for the time required by law, a
Notice Inviting Sealed Bids for doing the work in accordance with
the terms of this Contract, and
WHEREAS, the Contractor in response to said Notice has submitted to
the City a sealed bid proposal accompanied by a bid guaranty in an
amount not less than ten percent (10 %) of the amount bid for the
construction of all of the proposed work in accordance with the
terms of this Contract, and
WHEREAS, the City, in the manner prescribed by law, has publicly
opened, examined and canvassed the bids submitted and as a result
has determined and declared the Contractor to be the lowest
responsible bidder and has duly awarded to the Contractor a
contract for all of the work and for the sum or sums named in the
bid proposal and in this Contract.
NOW, THEREFORE, THE PARTIES AGREE AS FOLLOWS:
ARTICLE I. WORK TO BE DONE:
That the Contractor shall provide all necessary labor, machinery,
tools, apparatus and other means of construction; shall furnish all
materials, superintendence and overhead expenses of whatever nature
necessary to construct all of the improvements for the City of
Saratoga in conformity with the plans, specifications and other
contract documents and according to such instructions as may be
given by the Saratoga Director of Public Works or his authorized
agent.

ARTICLE II. CONTRACT PRICES
Except as provided in Section IV B of the Specifications ( "Changes
and Extra Work ") , the City shall pay the Contractor according to
the prices stated in the bid proposal submitted by the Contractor,
which shall include all applicable taxes, for complete performance
of the work.
The Contractor hereby agrees to accept such payment as full
compensation for all materials and appliances necessary to complete
the work; for all loss or damage arising from the work or from
action of the elements, or from any unforeseen obstruction or
difficulties which may be encountered in the prosecution of the
work; incurred in and in consequence of the suspension or
discontinuance of the work; as hereby specified; for all liabili-
ties and other insurance; for all fees or royalties or other ex-
penses on account of any patent or patents; for all overhead and
other expenses incident to the work and expected profits; and for
well and faithfully performing and completing the work within the
time frame specified in the Notice to Proceed, all according to the
contract plans and specifications, the details and instructions,
and the requirements of the City.
